By using Swaply, you accept these Terms
Please read these Terms carefully before using our Service. If you do not agree with any part, you must not use Swaply.
1. Agreement to Terms
These Terms constitute a legally binding agreement between you and Swaply Technologies Limited (“Swaply”, “we”, “us”, “our”). They govern your use of our website, mobile applications, and all related services (the “Service”).
By accessing, registering for, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
2. Eligibility & Account Registration
2.1 Who can use Swaply
- You must be at least 18 years of age (or the age of legal majority in your jurisdiction)
- You must be a resident of Nigeria or another country where Swaply is lawfully available
- You must not be a politically exposed person (PEP) restricted from holding financial accounts, unless declared and approved
- You must not have been previously suspended or banned from Swaply
- You must register with accurate, current, and complete information
2.2 Account security
You are responsible for safeguarding your password, PIN, OTP, and any credentials. You agree to:
- Enable two-factor authentication (2FA) where available
- Never share your credentials with anyone — Swaply staff will never ask for your password
- Notify us immediately of any unauthorized access or suspected breach
- Accept liability for all activities that occur under your account
3. Identity Verification (KYC)
To comply with Anti-Money Laundering (AML) and Countering the Financing of Terrorism (CFT) laws, you must complete identity verification before using certain features. We may require:
- Valid government-issued ID (NIN, BVN, passport, driver's license, or voter's card)
- Proof of address (utility bill, bank statement)
- A selfie or live photo for facial verification
- Source of funds declaration for large or unusual transactions

4. Description of Services
Swaply provides a digital financial services platform including:
- <strong>Airtime & Data</strong> — purchase prepaid airtime and mobile data bundles
- <strong>Bills Payment</strong> — electricity, cable TV subscriptions, and betting wallet top-ups
- <strong>Crypto Exchange</strong> — buy and sell supported cryptocurrencies at quoted rates
- <strong>Gift Cards</strong> — trade supported gift card brands for naira
- <strong>Flights</strong> — search and book domestic and international flights
- <strong>Wallet & Payments</strong> — store funds, send money, and transact across services
Swaply acts as an agent/intermediary; we are not a bank. Wallet balances are not deposits and do not earn interest.
5. Acceptable Use Policy
When using Swaply, you agree to:
- Provide truthful, accurate information at registration and during transactions
- Use the Service only for lawful personal or business purposes
- Comply with all applicable Nigerian laws and regulations
- Treat other users and Swaply staff with respect
- Promptly report any bugs, security issues, or suspicious activity

6. Prohibited Activities
You must NOT use Swaply to:
- Commit fraud, money laundering, terrorism financing, or tax evasion
- Process payments for illegal goods or services (drugs, weapons, counterfeit items, etc.)
- Conduct unauthorized cryptocurrency mixing, tumbling, or anonymizing services
- Engage in market manipulation, pump-and-dump schemes, or insider trading
- Purchase gift cards with stolen payment instruments or compromised accounts
- Abuse promotions, referral bonuses, or cashback offers
- Attempt to bypass our security, KYC, or transaction limits
- Use automated bots, scrapers, or scripts to interact with the Service
- Impersonate any person or entity, or falsely claim affiliation with Swaply
- Engage in any activity that could harm Swaply, its users, or its reputation
Consequences of violations
7. Fees, Charges & Limits
Most services on Swaply are either free or include the applicable fee in the quoted price. Specific fees are displayed at the point of transaction and may include:
- Transaction fees on airtime/data, bills, and crypto trades
- Spread on crypto buy/sell quotes
- Gift card processing fees deducted from redemption value
- Withdrawal fees to bank accounts (where applicable)
- Currency conversion fees for international transactions
Daily, per-transaction, and lifetime limits apply based on your verification tier. Limits are visible in your dashboard and may change with notice.
8. Transactions & Settlements
8.1 Authorization
Once you confirm a transaction (by entering your PIN, OTP, or biometric confirmation), it is considered authorized and is generally irreversible.
8.2 Failed or reversed transactions
If a transaction fails due to provider issues, network errors, or invalid details, the corresponding amount will be reversed to your wallet. Swaply is not responsible for losses caused by incorrect meter numbers, phone numbers, wallet addresses, or other details you provide.

9. Wallets & Balances
Your Swaply wallet holds funds available for use across the Service. Wallet balances:
- Are electronic money records, not deposits
- Do not earn interest
- May be subject to maximum balance limits per tier
- Can only be withdrawn to a bank account in your verified name
10. Intellectual Property
The Service, including all content, logos, trademarks, software, and design, is the property of Swaply Technologies Limited or its licensors and is protected by Nigerian and international intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for personal or internal business purposes. You may not copy, modify, distribute, reverse-engineer, or create derivative works.
11. Third-Party Services
Swaply integrates with third-party service providers (telecoms, banks, crypto liquidity providers, flight aggregators, gift card suppliers, etc.). We are not responsible for:
- Service availability or quality of third-party providers
- Pricing errors, exchange rate fluctuations, or quote expirations
- Acts or omissions of third parties after a successful transaction is delivered
- Flight cancellations, schedule changes, or airline policies (subject to airline terms)
12. Suspension & Termination
12.1 By you
You may close your account at any time by contacting support, provided there are no pending transactions, disputes, or investigations.
12.2 By us
We may suspend, restrict, or terminate your account if:
- You breach these Terms or any other applicable policy
- We are required to do so by law or by a competent authority
- We suspect fraud, money laundering, or unauthorized activity
- Your account has been inactive for an extended period
- Continued provision of the Service to you poses a security or reputational risk
Where lawful, we will provide you with notice and an opportunity to respond before termination.
13. Disclaimers & No Warranties
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
- WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
- WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF EXCHANGE RATES, PRICES, OR QUOTES
- WARRANTIES THAT DEFECTS WILL BE CORRECTED OR THAT THE SERVICE IS FREE OF VIRUSES OR HARMFUL COMPONENTS
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SWAPLY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your use of (or inability to use) the Service
- Any unauthorized access to or alteration of your transmissions or data
- Transactions with third-party providers accessible through the Service
- Statements, conduct, or content of any third party on the Service
- Market volatility affecting crypto or gift card values
Our total aggregate liability for any claim arising from or relating to the Service shall not exceed the greater of (a) the total fees you paid to Swaply in the 3 months preceding the claim, or (b) ₦100,000.
15. Indemnification
You agree to indemnify, defend, and hold harmless Swaply and its affiliates from any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in any way connected with your breach of these Terms, your misuse of the Service, or your violation of any law or third-party right.
16. Disputes & Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes shall first be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act. Nothing prevents either party from seeking injunctive relief in a court of competent jurisdiction.
17. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified via email or in-app at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
